This website is operated by Jmusic Singer And Songwriter LLC.

These Terms of Use (“Terms”) govern your access to and participation in the online platforms, services, storefront, and community operated by Jmusic Singer And Songwriter LLC (the “Company”), including but not limited to its brand, personality, and alter ego known as “Spark of J.” By accessing our website, platform, or services, you (“you,” “user,” “member,” “investor,” or “participant”) agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

 

1. Definitions
1.1 “Company” means Jmusic Singer And Songwriter LLC.
1.2 “Spark of J” means the brand/moniker operated by the Company and used to represent its community and creative endeavors.
1.3 “Member” means any registered user of the platform, including Free Users and Verified Members.
1.4 “Networking Event” means a requested or accepted meeting between community participants facilitated by the Company, which may include mentorship, collaboration, or exchange of professional services.
1.5 “Referral ID” means a unique identifier assigned to a Member for attribution of networking requests and merchandise commissions.
1.6 “Investor Promotion Page” means a dedicated, Company-hosted page for a Member that showcases their skills/services and embeds their Referral ID.
1.7 “Verified Author” means a writer approved by the Company to publish educational or informational content on the site and participate in the Author Affiliate Program.

 

2. Acceptance of Terms; Changes
2.1 By using the platform, you accept these Terms. The Company may modify these Terms at any time by posting an updated version to the website. Your continued use constitutes acceptance of the updated Terms.
2.2 The Company may modify or discontinue any feature, product, or program (including membership tiers, commissions, and affiliate programs) at any time.

 

3. Membership Structure
3.1 Tiers. The platform offers two tiers:
(a) Free User — limited benefits and subject to fees as described below; and
(b) Verified Member — approved by the Company with enhanced privileges, fee reductions, and eligibility for higher commissions.

3.2 Investor Promotion Page & Referral ID. Upon approval, Members may receive a dedicated Investor Promotion Page and Referral ID that customers can use to (i) request a Networking Event with the Member, and/or (ii) allocate merchandise referral commissions to the Member.

3.3 Minimum Spend & Meeting Structure. The minimum spend for a Networking Event is $250. There are three (3) meetings per Networking Event; the first is a complimentary initial meeting to agree on scope, timing, and price; the remaining two meetings are applied to delivery and follow-up.

3.4 Company Mediation & Discretion. The Company mediates Networking Events between Members. The Company may accept, deny, or terminate Networking Events in its sole discretion. An investor/member may also decline a Networking Event for any or no reason. Where appropriate, and in the Company’s sole discretion, the Company may award a referral bonus even if a Networking Event does not occur through no fault of the Member attributed by the Referral ID.

 

4. Commissions & Fees for Members
4.1 Commission Rates — Merchandise. When a customer uses your Referral ID during checkout for Spark of J branded merchandise, you earn a referral bonus. Current rates are:
• Free User: $200 + 0.06 × the retail price of the Spark of J branded t‑shirt sold; and
• Verified Member: $250 + 0.06 × the retail price of the Spark of J branded t‑shirt sold.
These are the current going rates and may be updated by the Company.

4.2 Commission via Networking Requests. A customer may also use your Referral ID to request a Networking Event directly. When a qualifying Networking Event completes successfully, you earn the applicable per‑referral amount shown above for your tier.

4.3 Fees — Free Users. Free Users are subject to: (a) a one‑time Admin Fee of $75 per referral; and (b) a Business Leads Fee equal to 20% of the final cost of the Networking Event. No fees are charged for referrals that occur through Spark of J branded t‑shirt sales using your Referral ID.

4.4 Fees — Verified Members. Verified Members are subject to a one‑time Admin Fee of $50; there is no Business Leads Fee for Verified Members. No fees are charged for referrals that occur through Spark of J branded t‑shirt sales using your Referral ID.

4.5 Payout Method & Timing. Payouts are made exclusively via PayPal to the payment email on file. You are responsible for maintaining a valid PayPal account capable of receiving funds. The Company may withhold or reverse payouts in the event of chargebacks, cancellations, fraud, or violations of these Terms.

 

5. Author Affiliate Program (Verified Authors Only)
5.1 Program Overview. The Company invites skilled creators to become Verified Authors who publish educational or informative articles on our site. Verified Authors may include affiliate links to our shop within their articles, subject to editorial and compliance guidelines.

5.2 Eligibility & Approval. Only Verified Authors approved by the Company are eligible to receive author‑affiliate commissions. Registration forms may be provided publicly, but commission eligibility is contingent on Company approval and continued good standing.

5.3 Commission Range. Verified Authors may be offered a commission of 25%–30% on qualifying sales attributed to their content, link placements, or promotions, as determined by the Company. The Company may assign a specific rate within this range per author and may change or end the program, a specific author’s participation, and/or the offered rate at any time in its sole discretion.

5.4 Content Standards & Compliance. Verified Authors must publish original, educational content. Prohibited practices include link spamming, deceptive claims, and any behavior that harms brand reputation. The Company may remove, edit, or decline content at any time.

5.5 Tracking & Payment. Attribution methods (including cookies, Referral IDs, or unique URLs) may be used to track sales. Payouts are made via PayPal pursuant to Section 4.5 and are subject to chargebacks, refunds, and audit.

 

6. Anti‑Circumvention; Conduct
6.1 Anti‑Circumvention. You may not circumvent the platform, Referral ID system, or any program fees to avoid payment of commissions, fees, or charges. Attempted or actual circumvention may result in termination and forfeiture of earnings.

6.2 Prohibited Conduct. You may not engage in fraud, harassment, hate speech, intellectual‑property infringement, or other unlawful or unethical conduct. The Company may suspend or terminate accounts at its discretion.

 

7. Intellectual Property & Brand Protection
7.1 Ownership. The names “Jmusic Singer And Songwriter LLC” and “Spark of J,” together with associated logos, designs, monikers, and emblems (including the necklace emblem), are the exclusive property of the Company.

7.2 No License. No license to use Company trademarks or content is granted without prior written consent. Unauthorized use, reproduction, or misrepresentation is prohibited and may result in legal action.

7.3 User Content License. By submitting content (text, images, media), you grant the Company a worldwide, non‑exclusive, royalty‑free license to host, display, reproduce, and promote such content in connection with the platform and its services, subject to our Privacy Policy.

 

8. Payments; Reversals; Taxes
8.1 All payments and payouts are processed in U.S. dollars via PayPal.
8.2 The Company may withhold or reverse payouts due to refunds, chargebacks, fraud investigations, or violations of these Terms.
8.3 You are responsible for any taxes arising from commissions, referral bonuses, or other payments you receive.

 

9. Disclaimers; Limitation of Liability
9.1 The platform, Networking Events, promotional pages, and related services are provided “as is” and “as available,” without warranties of any kind.
9.2 The Company does not guarantee any specific results, income, or opportunities from membership, Networking Events, or the Author Affiliate Program.
9.3 To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

 

10. Termination; suspension

10.1 The Company may suspend or terminate your access to the platform, membership, or programs at any time, with or without notice, for any or no reason.
10.2 Upon termination, all rights and licenses granted to you under these Terms immediately cease.

 

11. Governing Law; Venue

These Terms are governed by the laws of the State of Ohio, without regard to conflict‑of‑law principles. Exclusive venue for disputes shall lie in the state or federal courts located in Ohio.
